1. Acceptance of Terms

By accessing or using SOMA's website, mobile application, or any related services (collectively, the "Services"), you confirm that you are at least 16 years of age, that you have read and understood these Terms, and that you agree to be bound by them. If you are using SOMA on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

These Terms, together with our Privacy Policy, Cookie Policy, and any other policies referenced herein, form the entire agreement between you and SOMA regarding your use of the Services.

2. Description of Services

SOMA is an AI-powered health coaching platform designed to help individuals understand and optimise their physical and mental performance using biometric data, including but not limited to heart rate variability (HRV), sleep quality, and training load. Our Services include personalised coaching briefs, trend analytics, training recommendations, and educational content.

SOMA is a wellness and fitness tool. It is not a medical device, does not provide medical diagnoses, and is not a substitute for professional medical advice, diagnosis, or treatment. Always consult a qualified healthcare provider before starting any new exercise programme, especially if you have an existing health condition.

3. Account Registration and Security

To access most features of SOMA, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must notify us immediately at security@trainwithsoma.com if you suspect any unauthorised use of your account. SOMA cannot and will not be liable for any loss or damage arising from your failure to safeguard your credentials. You may not share your account with others or create accounts for the purpose of abuse, spam, or circumvention of restrictions.

4. Subscriptions and Payment

SOMA offers both a free tier and paid subscription plans ("Premium"). Premium subscriptions are billed monthly or annually, as selected at purchase. All prices are displayed in US dollars unless otherwise specified and are inclusive of applicable taxes where required by law.

Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You can cancel at any time from your account settings or by contacting support@trainwithsoma.com. Cancellation takes effect at the end of the current billing period — you will retain access to Premium features until that date.

We reserve the right to change subscription pricing with at least 30 days' notice. Continued use of the paid service after the effective date of a price change constitutes acceptance of the new pricing.

5. Refund Policy

Monthly subscriptions: We offer a 7-day money-back guarantee for first-time monthly subscribers. Requests must be submitted to billing@trainwithsoma.com within 7 days of the initial charge.

Annual subscriptions: We offer a 30-day money-back guarantee for annual subscriptions. Requests submitted after the 30-day window will not be eligible for a refund, except where required by applicable consumer protection law.

No refunds are issued for partial billing periods, unused features, or accounts terminated due to a violation of these Terms.

6. Health Data and Medical Disclaimer

SOMA collects and processes biometric and health-related data, including HRV, sleep data, heart rate, and activity metrics, to generate personalised recommendations. By using our Services, you consent to this processing as described in our Privacy Policy.

IMPORTANT MEDICAL DISCLAIMER: The information, coaching briefs, readiness scores, and recommendations provided by SOMA are for informational and wellness purposes only. They do not constitute medical advice, diagnosis, or treatment. SOMA is not a licensed healthcare provider. Recommendations generated by our AI should not replace the advice of your doctor, physiotherapist, or other qualified health professional. Never ignore professional medical advice or delay seeking it because of something you read or received from SOMA. If you experience chest pain, shortness of breath, dizziness, or other symptoms, stop exercise immediately and seek medical attention.

You acknowledge that any training or lifestyle changes you make based on SOMA recommendations are at your own risk. SOMA expressly disclaims liability for any injury, illness, or adverse health outcome resulting from use of our Services.

7. Acceptable Use

You agree to use SOMA only for lawful purposes and in accordance with these Terms. You must not use the Services to upload, post, or transmit any content that is unlawful, harmful, abusive, defamatory, or otherwise objectionable; attempt to gain unauthorised access to any part of the Services or any connected systems; reverse-engineer, decompile, or disassemble any part of the Services; use automated tools to scrape, crawl, or harvest data from SOMA; interfere with or disrupt the integrity or performance of the Services; or create fake accounts or impersonate another person.

Violation of these restrictions may result in immediate account termination and, where appropriate, legal action.

8. Intellectual Property

All content, features, and functionality of SOMA — including but not limited to text, graphics, logos, user interface design, software, and AI models — are owned by SOMA Technologies, Inc. and are protected by copyright, trademark, patent, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your personal, non-commercial use.

Your personal data and the raw biometric data you contribute remain yours. You grant SOMA a non-exclusive licence to process this data to provide the Services and, in anonymised and aggregated form, to improve our AI models.

9. Limitation of Liability

To the fullest extent permitted by applicable law, SOMA Technologies, Inc. and its officers, directors, employees, agents, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, health outcomes, or goodwill, arising from your use of or inability to use the Services.

Our total aggregate liability to you for any claims arising from these Terms or your use of the Services shall not exceed the amount you paid to SOMA in the 12 months preceding the claim, or USD $100 if you have not made any payments.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

10. Termination

You may delete your account at any time from your account settings. SOMA may suspend or terminate your access to the Services immediately, without notice, if you breach these Terms, if we are required to do so by law, or if we reasonably believe your account is being used for fraudulent or harmful purposes.

Upon termination, your right to use the Services ceases immediately. We will handle your data in accordance with our Privacy Policy. Provisions that by their nature should survive termination (including disclaimers, limitations of liability, and dispute resolution) will survive.

11. Governing Law and Disputes

These Terms are governed by the laws of the State of California, USA, without regard to conflict of law principles. Any dispute arising from or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association, conducted in San Francisco, California, on an individual basis. You waive the right to participate in a class action lawsuit or class-wide arbitration.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or in-app notification at least 30 days before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Services and may delete your account.
